ANPA Bylaws
Revised and approved by the Association September 2007.
ARTICLE I.
Title and Relationship
Section 1: The name
of this organization shall be the Alaska Nurse Practitioner
Association (also known as ANPA).
Section 2: The
purpose of the organization shall be:
A.
To promote the public interest in nurse practitioner care.
B.
To encourage communication among nurse practitioners, especially for
Alaskans.
C.
To support and promote increased availability of nurse practitioner
services in Alaska.
D.
To encourage member participation in ANPA business.
E.
To promote communication between provider groups engaged in health
care.
F.
To promote availability of continuing education for nurse
practitioners in Alaska.
G.
To provide support and encouragement to the concerns and interests
of nurse practitioners and nurse practitioner students.
Section 3: This
organization shall be incorporated as a non-profit, 501 (c) 6
organization with the State of Alaska, renewed biennially.
ARTICLE II.
Officers
Section 1. Elected
officers of ANPA shall consist of President, President-Elect,
Secretary, and Treasurer.
Section 2. The
elected officers and the immediate Past President shall be known as
the Executive Committee. The Executive Committee powers shall
include:
A.
Urgent decision making needed for organizational function
B.
Authorize spending of less than $500.
C.
Oversee ANPA scholarship activity
Section 3. The term
of office for each officer shall be one year, limited to three
consecutive years.
Section 4. An
officer who misses three consecutive meetings or 50% of the meetings
in one year’s time will be asked to resign.
Section 5. A
vacancy in the office of President shall be filled by the
President-Elect.
Section 6. Other
office vacancies shall be filled by presidential appointment within
60 days of the vacancy.
Section 7. Student
members may hold any office except that of President or
President-Elect.
Section 8. Duties
of the Officers
A.
The President shall:
1.
Preside over meetings.
2.
Appoint standing and ad hoc committees.
3.
Coordinate communications between ANPA and related professional
organizations.
4.
Publish an agenda to the membership prior to the meetings.
5.
Declare election results.
6.
Be a member of the Executive Committee as Past President immediately
following the term of office.
Submit written reports quarterly to the membership with a hard copy
to the Secretary.
Be an ex officio member of all committees, except Nominations.
B.
The President-Elect shall:
1.
Coordinate arrangements and program components of the annual fall
conference.
2.
Perform the duties of the President in his/her absence or inability
to serve.
3.
Perform such duties as may be delegated by the President.
4.
Assume office of presidency in subsequent term.
C.
The Treasurer shall:
1.
Be custodian of ANPA funds.
2.
Give an itemized report at each meeting.
3.
Be responsible for collection of annual dues
4.
Be responsible for accurate and complete recording of all income and
disbursements.
5.
Maintain a list of members with dues currently paid.
6.
Submit a proposed expenditure report at the beginning of the fiscal
year.
7.
Submit a quarterly written report to the membership with a hard copy
to the Secretary.
8.
Be a member of the Conference Committee.
9.
Responsible for yearly tax filing with the Internal Revenue Service.
D.
The Secretary shall:
1.
Be responsible for minutes of meetings and their distribution.
2.
Maintain current and organized files of all ANPA business.
3.
Be responsible for ANPA correspondence.
4.
Perform such other duties as assigned by the President.
5.
Maintain a file of all written reports.
6.
Be chair of the Nominations Committee.
ARTICLE III.
Membership and Privileges
Section 1.
Membership
A.
An active member is a registered nurse who has graduated from
a nurse practitioner program and whose dues are current.
B.
A student member is a registered nurse currently enrolled in
a nurse practitioner program, and whose dues are current.
C.
An associate member is any individual interested in nurse
practitioner issues, and whose dues are current.
Section 2.
Membership Privileges
A.
An active membership in ANPA shall entitle an individual to
make motions, to vote, and to hold office.
B.
Student members may make motions, vote, and hold office
except that of President and President-Elect.
C.
Associate members do not have the privilege of making
motions, voting or holding office.
All members who provide email addresses shall receive regular ANPA
communications and newsletters.
D.
The members will have access to the ANPA listserve and the
“members only” section of the ANPA website.
Section 3. The ANPA
membership list is to be used for internal organization function
only. It will not be sold or given to outside groups.
ARTICLE IV.
Meetings
Section 1. The ANPA
shall meet at least seven times per year.
Section 2. In
general, meetings will not take place during June, July and August.
Section 3. For a
general meeting, a quorum shall consist of three people, including
officers.
Section 4. For
voting purposes, a quorum shall consist of five people which
includes the officers present.
Section 5. A simple
majority of the quorum shall decide issues voted upon, with the
exception of Bylaw changes which will require a 2/3 majority of the
quorum present.
Section 6.
Teleconferencing will be available to all members at each meeting
except when meeting outside the ANPA office.
ARTICLE V.
Nominations and Elections
Section 1. The
Nominations Committee shall prepare a ballot and conduct the
election.
Section 2. The
annual election will be held prior to the annual fall meeting or
within 60 days after the meeting, should it be necessary.
Section 3. Ballots
shall be mailed to voting members at least 30 days prior to the
vote.
Section 4. Returned
ballots must be postmarked or received five days prior to the
conference meeting or established date.
Section 5. Written
results of the election will be given to the President for
announcement prior to the close of business during the fall meeting.
ARTICLE VI.
Committees
Section 1. Standing
committees of ANPA are:
A. Nominations Committee
B. Public Relations Committee
C. Conference Committee
D. Legislative Committee
E. Webmaster
Section 2. The
President shall be an ex-officio member of all committees, except
Nominations.
Section 3. The
Nominations Committee shall:
A.
Be composed of volunteers
B.
Be chaired by the Secretary.
C.
Identify and interview potential candidates for offices.
D.
Prepare a slate of candidates and ballots for elections.
E.
Conduct the election prior to the annual fall meeting.
Section 4. The
Public Relations committee shall:
A.
Be composed of volunteers
B.
Be chaired by a member chosen by the committee.
C.
Promote and coordinate activities and communications between
ANPA and various other organizations.
D.
Conduct such activities as are necessary to increase consumer
awareness of the nurse practitioner role and services available,
such as community event participation, media releases, etc.
Section 5. The
Conference Committee shall:
A.
Be chaired by the President Elect
B.
Be composed of the President-Elect, Treasurer, Facility
Planner and at least two members at large.
C.
The Treasurer will advise the committee on establishment of
the Conference budget and will oversee the administration of the
budget.
D.
Convene a planning meeting within 90 days of the previous
conference and will begin regular meetings in January.
Section 6. The
Legislative Committee shall:
A.
Be composed of volunteers.
B.
Be chaired by a member chosen by the committee.
C.
Choose the Legislative Representative for Alaska Nurse
Practitioner annually.
D.
The Legislative Representative will be a member of the AaNA
Legislative Committee.
E.
Coordinate communication as needed for legislative or
lobbying purposes.
F.
Present a legislative report at each meeting.
G.
Publish a quarterly report to the membership.
H.
Submit updates of legislative information to the Webmaster as
needed.
Section 7. The
Webmaster shall:
A.
Be a volunteer chosen from the membership
B.
Approve submissions to the website, updating the website as
able or submitting updates to the Website Contractor.
Section 8. Other Ad
Hoc Committees shall be created as necessary.
ARTICLE VII.
Dues and Finance
Section 1. Dues
A.
Annual active and associate membership dues shall be $125 per
year.
B.
Student member’s dues shall be $20.
C.
Senior rate (over 65), member’s dues shall be $20.
D.
Dues are to be paid by October 31st and are current until the
next annual conference.
E.
Members can be reinstated by payment of the current year’s
dues.
F.
Dues can be changed at the recommendation of the officers,
subject to approval of majority vote at the annual conference.
Section 2. Finance
A.
The fiscal year shall run January 1st to December 31st.
B.
Signatures: The President, President-Elect, Secretary, and
Treasurer shall be authorized to sign checks.
C.
Any expenditure exceeding $501, not related to the conference
is subject to membership approval via vote or at the meeting.
D.
Checks over $501.00 will require two signatures from the
elected officers.
E.
Treasury Expenditures shall be made, but not limited to:
1.
Sponsorship of continuing education speakers and/or their
materials.
2.
Travel involving ANPA representation to other groups and
meetings.
3.
Other activities under $500 the Executive Committee deems
reasonable.
4.
Approval of a line item budget will be requested at the
discretion of the Treasurer.
ARTICLE VIII.
Amendment of Bylaws
Section 1. These
Bylaws may be amended at any meeting of ANPA by a 2/3 majority of
members present and entitled to vote provided announcement of
proposed changes takes place changes takes place at least 30 days
prior to vote.
Article IX.
Alaska Nurse Practitioner Association Chapters
The state
organization of the ANPA is based in Anchorage.
Section 1.
Definition: Nurse Practitioner Association Chapters which may be
hereafter organized, whose bylaws are in harmony with these bylaws
and have been approved by the ANPA Executive Board, shall be
recognized as an Alaska Nurse Practitioner Association Chapter,
hereafter referred to as Chapter's.
Section 2. Uniform
requirements. It shall be the duty of each Chapter:
A.
To first be members of the Alaska Nurse Practitioner
Association
B.
To require that all of its members have the qualifications
specified in Article III, Section 1 Membership of these bylaws.
C.
To send the President of ANPA the names and addresses of all
officers and board members of the Chapter immediately following
their election or appointments
D.
To adopt and maintain bylaws consistent with the bylaws of
ANPA.
E.
To confer with the executive committee of the ANPA and submit
any proposed bylaws to them in writing, before adoption, to assure
conformity with ANPA bylaws.
F.
To obtain approval of the ANPA Executive Board prior to
entering into any financial or legal obligations.
G.
To respond electronically, by letter or telephone to the call
for nominees for the ANPA ballot.
Section 3.
Dissolutions
A.
A Chapter may dissolve if it chooses to.
B.
A Chapter which fails to comply with the requirements of
these bylaws may be dissolved as a constituent association of the
ANPA by unanimous vote of the Executive Board, provided written
notice has been given. Such association and its members must be
notified in writing at least three months before the vote is taken
and the Chapter shall have the opportunity for a hearing with the
ANPA Board within said three months period.
C.
All funds held by the dissolved Chapter shall be paid to the
ANPA after all obligations of the Chapter have been met.
D.
All members of a dissolved Chapter remain members of the
state ANPA upon dissolution of the Chapter.
E.
A Chapter which has been dissolved may be reinstated by
unanimous vote of the Board.
